CARBON OFFROAD – BRAND COLLABORATION & AMBASSADOR PROGRAM TERMS & CONDITIONS

1. ELIGIBILITY & PERSONAL USE ONLY
Personal Application: All discount codes, perks, or gear provided through this collaboration program are strictly for the personal use of the approved Collaborator.
No Commercial Resale: You may not sell, trade, or barter any products, vouchers, or access codes received through this program.
Audience Sharing: If you are issued a public-facing tracking code or affiliate link for your followers, it must only be shared via your approved and owned social media channels, blog, or vlog.

2. STRICT PROHIBITION ON DISCOUNT MARKETPLACES
The Golden Rule: Under no circumstances are your personal or follower discount codes to be uploaded, submitted, or shared on public coupon aggregation sites, group discount marketplaces, or deal forums.
Prohibited platforms include, but are not limited to:
- USA: RetailMeNot, Honey, Slickdeals, Groupon, etc.
- Australia: OzBargain, Finder, Catch, etc.
- Global: Any browser extension databases, Facebook "Deals" groups, or Reddit coupon threads.

3. MONITORING, ENFORCEMENT & TERMINATION
We actively monitor the internet and discount databases for leaked codes. If a code assigned to you is found on any unauthorized third-party marketplace:
- The code will be deactivated immediately without prior notice.
- Any pending commissions, rewards, or upcoming gear allocations will be permanently forfeited.
- Your participation in the Collaboration Program will be terminated immediately.
- We reserve the right to invoice you for the monetary difference of any unauthorized purchases made using your leaked code.

4. CONTENT & CONDUCT
Brand Alignment: As an off-roading collaborator, you represent our brand. Content must not showcase illegal trail driving, environmental destruction, reckless driving, or any behavior that violates local land management rules (e.g., US Forest Service/BLM regulations in the US, or National Parks/State Forest rules in Australia).
Correct Installation & Usage: All products featured in your content must be correctly installed and utilized in strict accordance with our official user manuals and guidelines. If any content showcases incorrect installation, improper application, or unsafe usage of our gear, we reserve the right to require you to immediately rectify, update, or remove the content at our sole discretion.
Mandatory Recovery & Winching Safety Standards: To protect your safety and the integrity of the 4x4 community, all content depicting vehicle recovery or winching must strictly adhere to industry-standard safety protocols. Content will be rejected, or requested to be taken down, if it features unsafe practices including, but not limited to:
- Rated Equipment Only: Only use and showcase properly rated recovery gear (e.g., certified bow/D-shackles, soft shackles, kinetic snatch straps, or winch extension ropes) that are matched to the vehicle's weight and class.
- Strict Tow Ball Ban: Under no circumstances should a tow ball be used as a recovery point. Showcasing a recovery attached to a standard tow ball is an absolute safety violation and grounds for immediate termination from the program.
- Line Dampers: Whenever a winch line or snatch strap is under tension, a dedicated winch damper or safety blanket must be properly positioned over the line to suppress potential kinetic energy in the event of a line failure.
- Clear Exclusion Zones: Ensure all bystanders, passengers, and camera operators are standing at a safe distance, which must be a minimum of 1.5 times the length of the extended recovery line, outside of the potential "snap zone" or flight path before tension is applied.
- Tree Trunk Protection: When utilizing a tree as a winching anchor point, a dedicated tree trunk protector strap must always be used to prevent damage to the environment. Never wrap a winch line directly around a tree.
- Controlled Recoveries: Avoid showcasing excessive, uncontrolled wheel spin or reckless momentum during recoveries. Winching and recovery should be shown in a controlled, methodical manner.

5. LIMITATION OF LIABILITY & INDEMNIFICATION
Acknowledgment of Risk: You acknowledge and agree that off-roading, 4x4 driving, vehicle recovery, and related activities carry inherent risks, including the potential for severe property damage, serious personal injury, or death. All participation in this Collaboration Program, including the use of provided gear and the creation of content, is undertaken voluntarily and entirely at your own risk.
Limitation of Liability: Under no circumstances shall the Brand, its parent companies, subsidiaries, directors, employees, or affiliates be held legally or financially liable for any accidents, personal injuries, vehicle damage, third-party property damage, or legal infractions (including, but not limited to, fines for trespassing or violations of local trail regulations) sustained while participating in this program, using our products, or capturing content.
Indemnification: By accepting these terms, you agree to indemnify, defend, and hold the Brand harmless from and against any and all claims, demands, lawsuits, damages, liabilities, costs, and expenses (including legal fees) arising out of or related to your actions, negligence, reckless behavior, or breach of these Terms & Conditions while acting as a collaborator.
Independent Contractor Status: Your participation in this program does not constitute an employment, partnership, or joint venture relationship. You are solely responsible for your own medical insurance, vehicle insurance, liability insurance, and any permits required for trail access and content creation.

6. CONTENT USAGE RIGHTS (UGC)
By participating in this program, you grant us a perpetual, non-exclusive, royalty-free, worldwide license to repost, share, and utilize the content (photos, videos, captions) you create featuring our products across our marketing channels, social media, website, and digital advertisements.

7. DISCLOSURE REQUIREMENTS
As a brand partner, you must clearly disclose your relationship with us when sharing codes or reviewing gear.
- USA: You must comply with all FTC guidelines (e.g., using clear tags like #ad, #sponsored, or #partner).
- Australia: You must comply with Australian Association of National Advertisers (AANA) guidelines and Australian Consumer Law regarding influencer disclosures.

8. MODIFICATION & LEGAL JURISDICTION
We reserve the right to modify these Terms & Conditions or the commission/perk structure at any time. This agreement is governed by the laws applicable to where the specific business entity operates:
- United States: For collaborations managed under our US operations, US federal and state laws apply.
- Australia: For collaborations managed under our Australian operations, the laws of Australia apply.
